Welcome to Profyl! These Terms and Conditions ("Terms") govern your access to and use of the Profyl website, applications, and services (collectively, the "Service") operated by Ausaio Consulting Group, Inc., a Delaware corporation doing business as Profyl ("Profyl," "we," "us," or "our"). By using or accessing the Service, you agree to be bound by these Terms.

Section 1. Account Registration

To access certain Service features, you must create an account. You agree to provide accurate and complete information and maintain it as such. You are solely responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access. Profyl is not responsible for any loss or damage resulting from unauthorized account access.

Section 2. Service Description

Profyl provides a digital platform to create, customize, and manage professional digital business cards, online profiles, and link-in-bio pages. The Service may include free and paid subscription plans with differing functionality, bandwidth, or branding rights. We reserve the right to modify or discontinue any feature without prior notice.

Section 3. User Content and Intellectual Property

You retain ownership of the content you upload to the Service ("User Content"). By submitting User Content, you grant Profyl a worldwide, non-exclusive, sublicensable, royalty-free license to host, reproduce, display, and distribute such content for delivering and promoting the Service.

You warrant that you have all rights necessary to post your content and that it does not infringe any third party's rights or violate any law. Profyl may, at its discretion, review or remove content that violates these Terms or applicable law.

All proprietary software, designs, trademarks, and data used to provide the Service remain the property of Profyl or its licensors. Except as expressly stated, no rights are granted to you.

Section 4. Acceptable Use and Prohibited Activities

You agree not to use the Service to:

• Post or transmit unlawful, defamatory, obscene, or infringing content;
• Impersonate another person or misrepresent your affiliation;
• Transmit spam, malware, or other harmful content;
• Interfere with the Service's security or performance;
• Attempt to gain unauthorized system access.

Violation of these terms may result in immediate suspension or termination of your account.

Section 5. Data Protection & Privacy

Your use of the Service is also governed by our Privacy Policy. Profyl complies with applicable data protection and privacy regulations, including the California Consumer Privacy Act (CCPA) and, where applicable, the EU General Data Protection Regulation (GDPR).

If you are subject to GDPR, you may exercise applicable data rights (such as access, correction, or deletion) by contacting privacy@profyl.io.

Section 6. Payment, Renewals, and Refunds

Paid subscription fees will renew automatically at the end of each billing period unless cancelled in advance. Prices may change with at least 30 days' notice prior to renewal.

All fees are non-refundable except as required by applicable consumer protection laws.

Section 7. Account Termination

We may terminate or suspend your account at any time for reason including breach of these Terms or non-payment. You may cancel your account anytime by contacting support@profyl.io. Upon termination, access to your data and features will immediately cease.

Section 8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Profyl makes no representations or warranties, expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Profyl does not warrant uninterrupted or error-free operation of the Service.

Section 9. Limitation of Liability

To the fullest extent permitted by law, Profyl and its affiliates are not liable for any indirect, consequential, or punitive damages, including loss of data, profits, or goodwill, arising from your use or inability to use the Service.

In any case, Profyl's maximum total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

Section 10. Indemnification

You agree to indemnify, defend, and hold harmless Profyl, its affiliates, and employees from all claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service or breach of these Terms.

Section 11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice before taking effect. Continued use of the Service constitutes acceptance of the updated Terms.

Section 12. Governing Law and Jurisdiction

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, USA for all disputes arising out of or relating to these Terms.
